Vendor / Exhibitor Terms & Conditions
Vendors are responsible for, and must obtain, all permits and licenses required to participate in the Second Half Expo. Sales tax permit, Health Department license, etc.. Copies of all applicable materials will be provided to Second Half Events, Inc., along with vendor application and contract prior to show. If Second Half Events, Inc. does not receive License/Permit and have a copy on file, the Vendor will not be allowed to exhibit and will be removed from show.
Second Half Events, Inc. will assign exhibit space at its discretion. Second Half Events, Inc. will take into account Vendor choices provided on show application.
Vendors will not provide or permit beer, wine, liquor or any other alcoholic beverage of any kind to be sold, given away or consumed at the show.
Second Half Events, Inc. does not guarantee attendance or booth traffic at the show.
Vendors may not sublet or reassign exhibit space, unless prior written permission is acquired from Second Half Events, Inc.
All media audio or video played or displayed by vendors must be authorized in writing by the copyright owner as required by law.
Vendor’s exhibit will not visually, physically or audibly disturb aisles or adjacent Vendors.
Vendor will not attach any materials to columns, walls, floors or any other part of the facility or to any furniture at the facility. Banners may be attached with zip-ties or twine. Vendors will be required to return exhibit space to original condition.
This contract is non-cancelable by Vendors. If, due to unforeseen circumstances, Vendors are unable to participate in the show, Vendors will notify Second Half Events, Inc. in writing at earliest possible date. There will be a credit to the next year’s show.
Vendors may not use the logo for the show or any other tangible or intangible property of Second Half Events, Inc. / Second Half Expo without prior written consent.
Vendors are responsible for any loss, theft or destruction of it’s goods or property while at the show. To the fullest extent allowed by law, Second Half Events, Inc. and the owner/operator of the facility, and their respective officers, directors, members, employees, agents, volunteers and representatives, are not responsible for the acts or omissions of any security equipment or security personnel.
Vendors hereby grant Second Half Events, Inc. and its designates the right to use photographs, audio/video creations or other renderings of Vendor’s exhibit space at the show for an unlimited period of time for its own purposes without compensation.
Vendors shall protect, indemnify, defend and hold harmless Second Half Events, Inc., the owner/operator of the facility and any person associated with the sponsorship or administration of the show, and their respective officers, directors, members, employees, volunteers, agents and representatives, (collectively, the “indemnified Parties”) from and against any third party claims, demands, proceedings, suits and actions, including any related liabilities, obligations, losses, damages, deficiencies, penalties, taxes, levies, fines, judgments, settlements, costs, expenses, legal fees and disbursements, and accountants fees and disbursements, incurred by or asserted against any of the Indemnified Parties that relate to, arise out of or result from Vendor’s participation in the show.
The Indemnified Parties’ maximum liability for damages in connection with this contract, regardless of the cause of action, will not exceed the total amount paid by vendor to Second Half Events, Inc. for exhibit space at the expo. in no event will any of the indemnified parties be liable to Vendor or any other person or entity for any incidental, special, indirect, punitive, exemplary or consequential damages, including, without limitation, loss of profits, revenue, business or goodwill, whether in an action in contract, tort (including, without limitation, negligence and strict liability) or otherwise, even if the indemnified parties have been advised or knew of the possibility of the damages. The foregoing limitation of liability applies even if any remedy under this contract fails of its essential purpose.
If all or any portion of the show is not held due to war, fire, strike, government regulation or restriction, natural or public catastrophe or any other event of force majeure, Second Half Events, Inc. will refund to Vendor any prepaid amounts on a prorated basis. None of the Indemnified Parties will be liable if the facility is damaged for any cause whatsoever.
By entering into this contract, the parties do not intend to undertake a joint venture. Neither party will be the agent of the other and neither party will have any authority to create or assume any obligations whatsoever in the name of the other party or on it’s behalf. This contract establishes a business relationship between Vendor and Second Half Events, Inc.. Vendor hereby acknowledges that Second Half Events, Inc. may communicate with vendors via fax, email, telephone, text, U.S. Mail or any other method. Vendors may opt out of receiving these communications at its discretion.
Vendors agree to; (i) obey all laws , by-laws, ordinances and regulations governing use of the facility and operation of the show; (ii) abide by the rules and regulations of the city, fire and police departments and of any other government or regulatory body having authority to regulate the facility and the show; (iii) obey all laws, including those pertaining to health and safety, consumer protection and protection of visitors to the show; (iiii) abide by all rules and regulations governing the show established from time to time by Second Half Events, Inc.
Second Half Events, Inc. reserves the right, in its sole and unfettered discretion to: (i) determine the eligibility of Vendors and exhibits for the show; (ii) reject or remove exhibits, Vendors, Vendor’s personnel or promotional activities that Second Half Events, Inc. considers objectionable, inappropriate, disruptive or dangerous; (iii) change or modify the layout of the show and/or relocate exhibits or exhibitors to comparable space; (iiii) cancel, in whole or in part, the show due to an event of force majeure; or (v) change the date, location and duration of the show; without any liability to Second Half Events, Inc.

APPLICABLE LAW
By visiting Second Half Events, Inc., you agree that the laws of the state of Oklahoma, without regard to principles of conflict of laws, will govern these Conditions of Use and any dispute of any sort that might arise between you and Second Half Events, Inc. or its associates.
DISPUTES
Any dispute relating in any way to your visit to Second Half Events, Inc. or to services or products you purchase from Second Half Events, Inc. shall be submitted to confidential arbitration in the state of Oklahoma, except that, to the extent you have in any manner violated or threatened to violate Second Half Events, Inc.’s intellectual property rights, Second Half Events, Inc. may seek injunctive or other appropriate relief in any state or federal court in the state of Oklahoma, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrators award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.
